Terms of sale

These terms apply to quotations and orders placed with Taizhou Jiaojiang Xinlong Manufacturing Co., Ltd.. They are issued with every quotation and may be superseded by a signed supply agreement.

Quotations

Quotations state the fabric specification, minimum order quantity, sampling and bulk lead times, Incoterms 2020 rule and validity period, normally 30 days from the date of issue. Prices are based on the cotton market, exchange rate and freight level at the date of quotation.

Minimum order quantity

Standard MOQ is 300 pcs per style / per colour. Woven and GOTS organic programmes start at 500 pieces per style per colour because of minimum lot sizes at the spinning and dyeing stage.

Sampling

Proto samples take 7–10 days. Sample costs are quoted in advance and are credited against the bulk order where the order is placed within 90 days. Approved samples become the reference standard for bulk.

Production and inspection

Bulk production runs 25–35 days after pp sample approval after written approval of the pre-production sample. Final inspection is to AQL 2.5 unless AQL 1.5 is agreed in writing. Third-party inspection is welcomed and is at the buyer's cost unless agreed otherwise.

Delivery and Incoterms

We quote FOB Ningbo or FOB Shanghai by default and regularly ship CIF and DDP to EU, UK and US destinations. Risk transfers according to the Incoterms 2020 rule stated on the order confirmation. Delivery dates are estimates based on capacity booked at order placement.

Payment

Standard terms are 30% deposit with the order and 70% against a copy of the bill of lading, by T/T. Irrevocable letter of credit at sight is accepted. Other terms are available for established accounts.

Compliance and documentation

We supply fibre composition and care labelling to the rules of the destination market, a certificate of origin, test reports where ordered, and the cotton traceability dossier. The buyer is responsible for confirming the HS classification and duty treatment with its own customs broker.

Warranty and liability

Goods are warranted to conform to the approved pre-production sample and to the specifications agreed in writing. Claims must be notified within 14 days of receipt with photographic evidence. Our liability is limited to the value of the goods supplied.

Governing law

These terms are governed by the laws of the People's Republic of China. Disputes are resolved by arbitration in Shanghai under the rules agreed in the order confirmation.
